Does anybody know if you can do FCC compliant closed captioning with power director 12....I am producing a show on a local affiliate and they said I have to have them closed captioned to rerun the episodes in the same time slot...any suggestions would be greatly appreciated.

Google for creating closed captions and found many software and companies that do that. Here is one if you want to do it yourself: http://www.synchrimedia.com/ With the right sofware you may be able to convert subtitles to cc.
